    simple5472.com is a self-service document preparation and transmission tool. We are NOT a law firm, CPA firm, enrolled agent, or paid tax return preparer, and we do not provide legal, tax, or accounting advice.

    You remain solely responsible for determining your filing obligations, verifying the accuracy and completeness of your forms, and ensuring timely submission to the IRS or any other authority, including when you choose our optional fax-delivery service.

    If you choose assisted fax delivery, you authorize us only to transmit the filing package you reviewed and signed. That convenience service does not make us your attorney, CPA, or guarantor of IRS receipt, acceptance, or compliance.

    Arbitration Notice: These Terms include a binding individual arbitration clause, a class action waiver, and a jury trial waiver. By using the Service, you agree to resolve most disputes through individual arbitration in the State of Wyoming.

    1. Acceptance of Terms

    By accessing or using the simple5472.com website, application, checkout, generated documents, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

    2. Contracting Party

    The Service is operated by Laurasia LLC, d/b/a simple5472 ("simple5472," "we," "us," or "our").

    3. Eligibility and Permitted Use

    You represent and warrant that:

    • You are at least 18 years old and legally able to enter into a binding contract.
    • If you use the Service for a business or entity, you have authority to bind that entity to these Terms.
    • All information you submit is truthful, accurate, current, and complete.
    • You will not use the Service for any unlawful, fraudulent, misleading, abusive, or sanctioned activity.
    • You will not interfere with the Service, attempt unauthorized access, reverse engineer the platform, or use automated means to scrape or abuse the Service.

    4. Description of Service

    simple5472 provides a self-service software platform that helps users prepare Form 5472, Pro Forma Form 1120, and certain related filing materials based on user-supplied information. For users who purchase the optional fax transmission service, we may also transmit the user-reviewed and user-signed PDF package to the IRS by fax as a ministerial convenience step.

    We do not review your specific facts for legal sufficiency, determine whether you have selected the correct forms, verify the accuracy of your tax positions, represent you before the IRS, or provide personalized tax planning or legal guidance. Any optional fax delivery is performed solely at your direction and does not guarantee IRS receipt, acceptance, processing, or compliance.

    Preparer Status. simple5472 does not sign returns as a paid preparer, does not hold or require a Preparer Tax Identification Number (PTIN), and does not represent itself as a “tax return preparer” as defined in IRC §7701(a)(36). The Service is a self-service document preparation tool only. You, not simple5472, are the filer of record for any return or information report submitted using our platform. No preparer signature or PTIN will appear on any generated document.

    No Facilitator Role. simple5472 does not aid, assist, procure, counsel, or advise the preparation or presentation of any document, affidavit, claim, or other document in connection with any matter arising under the internal revenue laws within the meaning of IRC §6701. The Service performs mechanical data formatting, assembly, and optional transmission only. It does not exercise professional judgment, evaluate legal positions, or provide advice that would give rise to facilitator liability under IRC §6701 or any analogous state statute.

    Late Filing Package & Reasonable Cause Statement. For users filing past the original deadline, the Service may generate a Late Filing Package. For a single delinquent year, that package may include 1 completed Form 5472, 1 Pro Forma Form 1120, 1 Part V transaction attachment, 1 cover letter, 1 Reasonable Cause Statement, and filing instructions. For multiple delinquent years for the same LLC, the Service may generate a combined package containing 1 shared cover letter, 1 shared Reasonable Cause Statement covering all included years, and a separate Pro Forma Form 1120, Form 5472, and Part V transaction attachment for each included tax year. You may either mail the printed bundle to the IRS yourself or, if you purchase the optional fax delivery service, authorize the Service to transmit the entire bundle to the IRS as a single fax (with a sequential split fallback if the fax carrier reports a delivery failure). The Reasonable Cause Statement is assembled from the factual selections you make in the Service, together with any edits you choose to add. You are solely responsible for reviewing, editing if necessary, and approving the text before submission. The Service does not evaluate the merits of your reasonable cause argument, does not guarantee that the IRS will accept the statement or reach any favorable penalty outcome, and does not constitute legal, tax, or accounting advice. Whether the IRS grants any penalty consideration, relief, or abatement is determined solely by the IRS on a case-by-case basis. We do not represent you before the IRS in connection with any penalty-related request.

    No Legal Opinions or Covered Opinions. Nothing generated by the Service — including the Reasonable Cause Statement, cover letters, filing instructions, eligibility screener outputs, scoring or completeness indicators, consistency warnings, or any other content — constitutes a legal opinion, a tax opinion, a “covered opinion” under IRS Circular 230 (31 C.F.R. Part 10), or any form of legal, tax, or accounting advice. Any section-completeness indicators or consistency observations displayed by the Service are structural data-entry metrics only and do not evaluate, predict, or imply the legal merits, quality, sufficiency, or likelihood of IRS acceptance of any filing or penalty argument.

    Regulatory Uncertainty. IRS rules, interpretations, enforcement practices, and penalty abatement standards may change at any time and may vary by IRS campus, examiner, or program. The Service does not guarantee any outcome based on current or past IRS practices. You acknowledge that tax law is complex and subject to change, and that the Service may not reflect the most current IRS guidance at all times.

    Filing reality: For foreign-owned single-member LLCs, the IRS requires the Pro Forma 1120 to be filed by mail or fax. You may either print, sign, and submit the forms yourself or authorize us to transmit your signed PDF by fax as a convenience service. In either case, you remain responsible for the filing.

    5. User Responsibilities

    You acknowledge and agree that:

    • You are solely responsible for the accuracy, completeness, and legality of all information you provide.
    • You are required to review all generated documents in full — including the Reasonable Cause Statement, cover letter, and filing instructions — before signing, transmitting, or relying on them in any way. Proceeding to sign or authorize transmission constitutes your confirmation that you have reviewed and approved the complete content of every document in your filing package.
    • You are solely responsible for meeting all filing deadlines.
    • If you use the Late Filing Package, you confirm that the IRS has not contacted you about the delinquent returns included in the package. You understand that the IRS Delinquent International Information Return Submission Procedures are available only to taxpayers who have not been contacted by the IRS.
    • Even if you purchase our optional fax-delivery service, you remain responsible for the filing itself, including keeping proof of transmission and following up on any IRS notice, non-receipt, or rejection.
    • You should consult a qualified tax professional if you have any uncertainty about your filing obligations.
    • You are responsible for retaining copies of all filings, transmission confirmations, and supporting records for as long as required by applicable law, including any applicable IRS record-retention requirements. simple5472 does not guarantee the retention of your data or documents beyond the period reasonably necessary to provide the Service.

    5A. No Audit or Verification of User Data

    simple5472 is not a tax or accounting firm and does not provide any tax, accounting, financial, legal, or other professional services or advice.

    simple5472 will not audit, review, or otherwise verify any information you provide. The Service formats and assembles IRS forms based solely on the data you enter. It does not evaluate whether your entries are correct, complete, consistent, legally sufficient, or appropriate for your specific situation.

    Transaction Classification. The Service may suggest a transaction category (e.g., “owner contribution,” “not reportable”) based on keyword matching against the description you provide. These suggestions are mechanical pattern-matching outputs only. They do not constitute a professional determination of whether a transaction is reportable on Form 5472, and you must independently review, confirm, or override every classification before proceeding. You remain solely responsible for determining which transactions belong on your filing.

    Every field on your generated filing package was entered or confirmed by you. The Service does not alter the substantive content of your data. It may apply standard formatting required by IRS form specifications — such as uppercasing state abbreviations, formatting EINs in XX-XXXXXXX format, normalizing whitespace, and converting foreign currencies to USD using published exchange rates — but these are mechanical formatting steps, not substantive changes to the information you provided.

    An immutable, timestamped record of the exact facts you provided at the time of purchase is retained as a business record for internal record-keeping and dispute resolution. After payment, you may view and print a Data Provenance Record from your dashboard. This record is a software-generated business record showing the data you entered at checkout time — it is not a government document, a notarized instrument, an independently verified attestation, or a legal opinion. It does not certify the accuracy or legal sufficiency of your data. Its purpose is to provide both you and simple5472 with a shared, contemporaneous record of what was entered.

    If any information you provide is inaccurate, incomplete, or misleading, the resulting forms will reflect those errors and simple5472 bears no responsibility for the consequences.

    6. User-Generated Statements and Submissions

    All statements, representations, and content contained in documents generated by the Service — including but not limited to the Reasonable Cause Statement, cover letters, and any other narrative text — are your own representations to the IRS, not those of simple5472.

    By proceeding to sign or authorize transmission of any document generated by the Service, you:

    • Confirm that you have read and reviewed the complete text of every generated document.
    • Adopt and ratify all statements in those documents as your own truthful and accurate representations.
    • Acknowledge that you have made any edits necessary to ensure the content accurately reflects your specific facts and circumstances.
    • Accept full responsibility for the truthfulness, legal sufficiency, and completeness of all submitted statements.

    simple5472 does not verify, validate, or vouch for the accuracy or legal sufficiency of any user-submitted statement. The Reasonable Cause Statement is assembled from your selections and is provided as a starting point only. It is your sole responsibility to customize and confirm that the content accurately reflects your actual facts before submitting it to the IRS.

    simple5472 is the document preparation platform. You are the author and filer of record. The IRS will treat all statements in submitted documents as your representations, regardless of how those documents were generated.

    7. No Reliance on Service Outputs

    You expressly agree not to rely on any content, document, output, or information generated or provided by the Service as a substitute for professional legal, tax, or accounting advice.

    This includes, without limitation:

    • Any prefilled form values, instructions, or guidance text displayed by the Service.
    • Any Reasonable Cause Statement, cover letter, or other document generated by the Service.
    • Any information about filing deadlines, penalty amounts, or IRS procedures.
    • Any eligibility determination or check-eligibility output provided by the Service.

    If you have relied, or intend to rely, on any Service output to make a legal, financial, or tax-related decision, you do so entirely at your own risk and are strongly encouraged to seek independent professional advice. simple5472 is not liable for any damages arising from your reliance on Service-generated content.

    7A. Computational Accuracy Guarantee

    simple5472 guarantees that the mathematical calculations and currency conversions performed by the Service are computationally accurate based on the data you provide and the exchange rates sourced by the Service.

    If you discover a computational error — meaning the Service incorrectly calculated a sum, difference, or currency conversion from the data you entered — you may report it to support@simple5472.com within 30 days of document generation. If we confirm the error was caused by the Service (and not by incorrect user input, a third-party data source, or a change in exchange rates), we will either (a) provide corrected documents at no charge or (b) refund the fee you paid for that filing.

    This guarantee is limited to computational errors only. It does not cover:

    • Errors in the data you entered (e.g., wrong transaction amounts, wrong dates, wrong entity details).
    • Tax law interpretation, form selection, filing strategy, or legal sufficiency of any filing position.
    • IRS penalties, rejections, or adverse outcomes of any kind.
    • Exchange rate fluctuations or differences between the rates used by the Service and rates used by the IRS or other authorities.

    Our total liability under this guarantee is capped at the fee you paid to simple5472 for the specific filing in which the computational error occurred.

    8. Service Scope and Availability

    Intended scope. The Service is designed exclusively for foreign-owned single-member U.S. LLCs that are disregarded entities required to file IRS Form 5472 and a Pro Forma Form 1120. Use of the Service for any other entity type, tax scenario, or jurisdiction — including partnerships, multi-member LLCs, C-corporations, S-corporations, trusts, or complex holding structures — is entirely at your own risk, and simple5472 makes no representation that the Service is appropriate, accurate, or sufficient for any other purpose.

    No guaranteed uptime. We do not warrant that the Service will be continuously available, uninterrupted, or error-free. We may suspend, modify, or discontinue the Service or any feature at any time without notice.

    Document availability. You are solely responsible for downloading and retaining copies of all documents, transmission confirmations, and records before your session expires or your account is closed. Any retention of personal information or filing data by simple5472 is governed by the Privacy Policy, but continued in-app availability of documents is not guaranteed indefinitely.

    9. Accounts and Security

    You may need to create an account to access parts of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must promptly notify us of any suspected unauthorized use.

    10. Fees and Payments

    Pricing is shown in the Service at the time of purchase. By purchasing, you authorize our third-party payment processor to charge the selected amount.

    Payment covers access to the software, document generation, and, if selected, transmission assistance. It does not purchase legal or tax advice, IRS representation, or any guarantee that the IRS will receive, accept, process, or deem a filing timely.

    The Service delivers a digital document package (PDF). Delivery is deemed complete upon successful generation and availability for download or transmission by email. Because performance of the Service begins immediately upon payment and is complete upon delivery, all fees are final and non-refundable once your filing package has been delivered, to the maximum extent permitted by applicable law.

    By completing your purchase you expressly acknowledge that (i) delivery of the digital content begins immediately, (ii) the Service is fully performed upon delivery, and (iii) no refund is available after delivery has occurred.

    For users in the European Economic Area (EEA): by completing your purchase and requesting immediate delivery, you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal under the EU Consumer Rights Directive (2011/83/EU) once the digital content has been delivered.

    We are not required to refund fees for user mistakes, changes of mind, duplicate data entry, incomplete information, unsupported tax scenarios, transmission delays or failures outside our reasonable control, rejected filings, or third-party outages. If the Service fails to deliver any document due to a confirmed technical defect on our end (i.e., not caused by user error, third-party outage, or IRS system unavailability), you may request a refund by contacting support@simple5472.com within 30 days of the failed delivery. If you believe there was any other billing error, contact us at support@simple5472.com.

    California residents: Under California Civil Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210. The fee you paid for the Service is described above and at the time of purchase.

    11. License and User Materials

    Subject to these Terms, simple5472 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal filing-related purposes.

    You retain ownership of the information and documents you submit. You grant simple5472 a non-exclusive license to host, process, store, and use that information as needed to operate and provide the Service.

    12. Third-Party Services and Fax Transmission

    The Service relies on third-party providers, including Stripe (payment processing), Supabase (database, authentication, and file storage), Resend (transactional email), and Sinch (via the Phaxio API, for IRS fax transmission). Your use of any third-party functionality may be subject to that provider's terms. simple5472 is not responsible for third-party downtime, outages, or service interruptions.

    Fax transmission mechanics. If you purchase the optional fax delivery service, the Service stages your signed filing package and submits it to the IRS fax line through Sinch. Multi-year Late Filing Packages are submitted as a single fax containing the shared cover letter, shared Reasonable Cause Statement, and per-year forms. If the carrier reports a delivery failure, the Service automatically retries up to three times and, if necessary, splits the package into sequential parts (each labeled “Part X of Y” with a shared transmission ID) to complete delivery. If all attempts fail, the signed PDF is emailed to you so you can submit it yourself.

    Fax transmission risks. If you purchase the optional fax delivery service, you acknowledge that fax transmission involves inherent risks beyond our reasonable control, including:

    • Transmission failures, busy signals, line errors, or carrier outages.
    • Failed, incomplete, or corrupted delivery due to technical or network issues.
    • IRS fax system unavailability, capacity limits, or misrouting by IRS staff.
    • IRS processing delays, loss of documents after receipt, or failure to associate received documents with the correct taxpayer account.
    • Delays or failures caused by third-party fax service providers used by simple5472.

    simple5472 will make reasonable efforts to transmit your filing package to the designated IRS fax number and will provide a transmission confirmation where available from our fax provider. However, a transmission confirmation is not proof of IRS receipt, acceptance, or processing. You remain solely responsible for confirming IRS receipt and for any follow-up required in response to IRS notices, non-receipt, or rejection.

    13. Disclaimer of Warranties

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR SPECIFIC TAX OR LEGAL SITUATION.

    Without limiting the foregoing, we make no warranty or representation that any Reasonable Cause Statement, cover letter, or other penalty-related document generated by the Service will result in the IRS granting penalty consideration, abatement, relief, or any favorable outcome. Whether the IRS accepts a reasonable cause argument is determined solely by the IRS on a case-by-case basis.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE5472, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

    This limitation includes claims arising from filing errors, rejected submissions, missed deadlines, transmission delays or failures, non-receipt by the IRS, government notices, IRS penalties (including the $25,000 Form 5472 penalty), fines, interest, audits, or data inaccuracies.

    Our total aggregate liability for all claims will not exceed the amount you paid to simple5472 for the relevant service in the twelve (12) months immediately preceding the event giving rise to the claim.

    15. Indemnification

    You agree to defend, indemnify, and hold harmless simple5472 from and against any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the Service, your data and filings, or your violation of these Terms or applicable law.

    16. Dispute Resolution by Binding Individual Arbitration

    You and simple5472 agree that any dispute will first be submitted to informal resolution by sending written notice to support@simple5472.com. The parties agree to attempt informal resolution for at least 30 days.

    If not resolved informally, the dispute will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section.

    Small claims exception. Either party may bring an individual claim in small claims court instead of arbitration, provided the claim qualifies and remains in that court.

    Arbitration fees. AAA filing fees will be allocated in accordance with the AAA Consumer Arbitration Rules. simple5472 will pay any arbitration administrative fees that exceed what you would have paid to file the equivalent claim in court. Each party bears its own attorneys' fees, except as the arbitrator may award under applicable law.

    Arbitration will be conducted in English and may be held remotely or in Sheridan, Wyoming.

    Class action waiver: All disputes will be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or mass action.

    Jury trial waiver: You and simple5472 waive any right to a jury trial.

    17. Time Limit to Bring Claims

    Any claim or cause of action must be brought within one (1) year after the claim arose, or it is permanently barred.

    18. Suspension and Termination

    We may suspend, limit, or terminate your access at any time, with or without notice, if we believe you violated these Terms or created risk for us or others.

    19. Force Majeure

    simple5472 is not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, internet failures, utility outages, war, epidemics, governmental actions, or third-party platform failures.

    20. Changes to These Terms

    We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use constitutes acceptance of the revised Terms.

    21. Governing Law

    These Terms are governed by the laws of the State of Wyoming and the Federal Arbitration Act, without regard to conflict of law rules.

    22. General Terms

    If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent. These Terms constitute the entire agreement between you and simple5472 regarding the Service.

    IRS Circular 230 Notice: Any discussion of U.S. federal tax matters in these Terms, in the Service, on the Website, or in any other communication from simple5472 is not intended or written to be used, and cannot be used, by any taxpayer for the purpose of (i) avoiding penalties under the Internal Revenue Code or (ii) promoting, marketing, or recommending any transaction or matter addressed herein to another party. simple5472 does not issue “covered opinions” as that term is defined under 31 C.F.R. Part 10 (Circular 230).
